Terms of Service

These terms apply when you use the tothiq.ai website or any service provided by Tothiq, including Tothiq Assistant, our AI assistant for WhatsApp. By using the website or a service, you agree to them. If you do not agree, please do not use them.

1. About us

The website and services are provided by Tothiq AI Services and Solutions (شركة توثيق لخدمات وحلول الذكاء الاصطناعي), a one-person company registered in Kuwait under commercial registration no. 554122, of Capital Governorate, Qibla, Block 6, Street 46, Building 3B, Floor 1, Office 10, Kuwait 14006 (“Tothiq”, “we”, “us”).

2. Agreements for paid work

Paid services are provided under a written proposal, quotation or order that sets out the scope, the price and the payment terms. These terms apply to that work as well. If the proposal and these terms say different things, the proposal wins for that project.

3. Using the website

You may use the website to learn about our services and products and to contact us. You must not:

  • try to break into, overload or disrupt the website or our systems;
  • send spam, malware or false information through our forms;
  • copy large parts of the website’s content for republication without our permission;
  • use the website in a way that breaks the law.

Prices and descriptions on the website are information, not an offer. A price is binding once it appears in a proposal or order we have confirmed.

4. Tothiq Assistant

What it is

Tothiq Assistant answers a business’s customers on WhatsApp, in the language each customer writes in, using the information the business provides. It runs on the WhatsApp Business Platform provided by Meta.

Your responsibilities as a business using it

  • You must have your customers’ permission to contact them on WhatsApp, and you must tell them they are talking to an automated assistant.
  • You must have a lawful basis for the personal data your customers send, and your own privacy notice must explain that you use a service provider to answer messages.
  • You must follow the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy. You must not use the assistant for anything those policies prohibit.
  • You are responsible for the information you give the assistant, such as prices, opening hours and policies, and for keeping it accurate and up to date.
  • You must not use the assistant to give medical, legal or financial advice that needs a qualified professional, or to make decisions with legal effects on your customers without a person reviewing them.
  • You must keep your account access secure and tell us straight away if you think someone else has used it.

AI answers

The assistant writes replies with an AI language model. It is designed to answer only from your information and to hand over to a person when it is unsure, but AI can still be wrong. You remain responsible for the service you give your customers, and you should check the conversations and correct the assistant’s information when needed.

Processing on your behalf

When we run the assistant for you, we process your customers’ personal data only on your instructions and to provide the service, as described in our Privacy Policy. We keep it confidential, protect it, do not use it to train AI models and delete it when the service ends.

Dependence on Meta

The assistant depends on WhatsApp and the WhatsApp Business Platform, which are controlled by Meta. Meta may change, limit or suspend access, set message charges, or block a number. We are not responsible for Meta’s decisions, but we will tell you as soon as we know of one that affects your service.

5. Fees and payment

Fees are set out in your proposal or order. Unless it says otherwise, fees are paid in advance, and recurring plans renew automatically for the same period until either of us gives notice before the renewal date. WhatsApp message charges set by Meta are separate from our fees unless your proposal includes them. If an invoice is unpaid 14 days after its due date, we may suspend the service until it is paid.

6. Intellectual property

The website, its text, design and the Tothiq name and logo belong to Tothiq. On full payment, you own the deliverables we create specifically for you, such as your website’s content and design. We keep ownership of our own tools, code libraries, know-how and the Tothiq Assistant platform, and you get the right to use them as part of the service. The information you give us stays yours.

Tothiq WordPress plugins and themes are licensed under their own terms: free versions under the GNU General Public License, and paid versions under the licence that comes with the purchase.

7. Third-party services

Our services work with products from other companies, such as Meta, WordPress, Shopify, payment providers and hosting providers. Their own terms apply to your use of them, and we are not responsible for their availability or changes.

8. Suspension and termination

You may stop using a service at the end of its current paid period by telling us before it renews. We may suspend or end a service if you break these terms or the WhatsApp policies, fail to pay, or use the service in a way that puts other users, Meta’s platform or us at risk. When a service ends, we delete your data as described in our Privacy Policy, and we can give you a copy of your information first if you ask before the end date.

9. Warranties

We carry out our work with reasonable skill and care. Apart from that, the website and services are provided “as is”. We do not promise that they will be uninterrupted or error-free, or that they will achieve a particular business result.

10. Limitation of liability

To the extent Kuwaiti law allows, our total liability for any claim connected with a service is limited to the fees you paid us for that service in the 12 months before the claim. We are not liable for lost profits, lost data that you could have backed up, or indirect losses. Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud.

11. Indemnity

If you use Tothiq Assistant in breach of these terms, the WhatsApp policies or the law, and that leads to a claim against Tothiq, you agree to cover the reasonable costs and losses that result.

12. Governing law

These terms are governed by the laws of the State of Kuwait. The courts of Kuwait have jurisdiction over any dispute, although we will always try to resolve a problem with you directly first.

13. Changes

We may update these terms. The new version will be published on this page with a new effective date. For clients with a running service, significant changes take effect at the next renewal, and we will tell you before then.
